Terms & Conditions

Short summary (TL;DR): These General Terms and Conditions govern the use of the AI training, consulting and educational services provided by AI Hub Landau (operated by Improvides Consulting GmbH). The key points in brief: services are provided subject to availability and proper registration; payment falls due as set out in the booking confirmation or the quotation; for distance contracts, consumers have a fourteen-day right of withdrawal (subject to the statutory exceptions, in particular for services that have been performed in full and for digital content that has been made accessible); our liability is governed by the statutory tiered model to the extent permitted by law (unlimited for injury to life, body and health and for intent and gross negligence, otherwise limited); the intellectual property in our pre-existing materials remains with us, while for consulting results created individually for you, you receive a right of use upon payment in full; individual agreements (consulting contract, quotation) take precedence over these Terms. The German version is authoritative. This summary is intended only as a quick overview and does not replace the provisions set out below.

2. Scope, definitions and precedence of individual agreements

2.1 Scope

These General Terms and Conditions (hereinafter “Terms”) apply to all contracts for training, consulting and educational services as well as digital content and media concluded between AI Hub Landau and the customer. Any conflicting terms and conditions of the customer are hereby rejected; they shall become part of the contract only if AI Hub Landau expressly consents to their application in text form.

2.2 Consumers and businesses

A consumer within the meaning of these Terms is any natural person who concludes a legal transaction for purposes that are predominantly outside their trade, business or self-employed professional activity (Section 13 of the German Civil Code, BGB). A business within the meaning of these Terms is a natural or legal person or a partnership with legal capacity that, when concluding the contract, acts in the exercise of its trade, business or self-employed professional activity (Section 14 BGB). Where individual provisions apply exclusively to consumers or exclusively to businesses, this is expressly indicated in the text.

2.3 Precedence of individual agreements

Individual contractual agreements, in particular a separately concluded consulting contract and an individual quotation accepted by the customer, shall always take precedence over these Terms (Section 305b BGB). In the event of conflicts between an individual agreement and these Terms, the individual agreement shall prevail; this applies in particular to provisions on liability, payment terms and rights of use. In all other respects, these Terms shall apply on a supplementary basis.

3. Which services do we offer?

AI Hub Landau provides training, consulting and educational services in the field of artificial intelligence for businesses, educational institutions and professionals in the Rhineland-Palatinate region, throughout Germany, in the European Union and worldwide.

The core services include:

  • AI training programmes: in-person workshops and training sessions, online courses and webinars, customised corporate training, qualification and certificate offerings on AI implementation, as well as AI literacy training pursuant to Article 4 of Regulation (EU) 2024/1689 (the AI Act);
  • consulting services: AI strategy and implementation consulting, AI Act compliance assessment and advice, process automation analysis and recommendations, as well as support with the selection and integration of AI tools;
  • educational events: public seminars and conferences, university lectures and academic partnerships, school programmes and educational initiatives, as well as networking events;
  • digital resources: course materials and documentation, access to online learning platforms, video training content, downloadable templates and guides, as well as media, including books, video and audio content.

Where certificates or confirmations of attendance are issued, they relate to the training service actually completed. AI Hub Landau owes the professional performance of the service, not the occurrence of any particular economic outcome.

4. How do you book and register for services?

4.1 Booking process

  • Step 1 – Selection: You select the desired service on our website or contact us for a customised solution.
  • Step 2 – Enquiry: You submit the required information to us via the contact form or by email (name, organisation, contact details, desired service and any special requirements).
  • Step 3 – Confirmation: You will, as a rule, receive a response or a booking confirmation by email within two business days, including details of the service content, dates, prices and payment terms.
  • Step 4 – Conclusion of contract and payment: The service is provided after the contract is concluded; payment falls due in accordance with Section 5.

4.2 Formation of the contract

The presentation of services on the website does not constitute a binding offer but an invitation to submit an offer. By making a booking, the customer submits a binding offer to conclude a contract. A binding contract is formed as soon as AI Hub Landau accepts the booking in text form (in particular by confirmation email) or a separate service or consulting contract is signed by both parties. AI Hub Landau reserves the right to decline bookings if sufficient capacity is not available or if the requested requirements cannot be met.

4.3 Required information

For registration, the following must be provided: full name or name of the organisation, email address and telephone number, the desired service, and any special requirements. The customer is obliged to provide truthful and complete information.

5. What are the payment terms?

5.1 Method of payment and due date

AI Hub Landau accepts bank transfer as well as other payment methods specified in the booking confirmation or invoice. Payment falls due as stated in the booking confirmation, the invoice or the quotation. For courses and events, payment is, as a rule, due before the service begins. Unless otherwise provided in the quotation or the individual contract, the payment term agreed there shall apply; in relation to businesses, a payment term of 30 days or another expressly agreed period may apply.

5.2 Precedence of individual payment agreements

Where a specific payment term is agreed in an individual consulting contract or quotation, that agreement shall take precedence over the general provisions of this Section (Section 305b BGB).

5.3 Default of payment

If a payment due is not received on time, AI Hub Landau is entitled to assert claims for damages caused by default in accordance with the statutory provisions. The statutory default interest applies (Section 288 BGB). In relation to businesses, AI Hub Landau may additionally claim the statutory lump sum for default pursuant to Section 288(5) BGB. The assertion of any further damage actually incurred due to default remains unaffected; the customer reserves the right to prove that no damage, or a lower amount of damage, has been incurred. In the event of default of payment, AI Hub Landau is furthermore entitled to defer performance of the service until payment is received in full.

6. What applies to withdrawal and refunds?

6.0 Field of application

The provisions of Sections 6.1 to 6.4 below (right of withdrawal) apply exclusively to consumers within the meaning of Section 13 BGB who conclude a contract by means of distance selling or away from business premises. Businesses within the meaning of Section 14 BGB are not entitled to a statutory right of withdrawal; for them, the cancellation terms under Section 6.5 apply directly.

6.1 Withdrawal instructions for consumers

Right of withdrawal

You have the right to withdraw from this contract within fourteen days without giving any reason. The withdrawal period is fourteen days from the day of conclusion of the contract.

To exercise your right of withdrawal, you must inform us

  • Improvides Consulting GmbH (AI Hub Landau)
  • Fritz-Siegel-Str. 23, 76829 Landau in der Pfalz
  • Email: enquiries@improvides.com

of your decision to withdraw from this contract by means of a clear declaration (e.g. a letter sent by post or an email). You may use the model withdrawal form printed at the end of these Terms for this purpose, although this is not mandatory.

To comply with the withdrawal period, it is sufficient that you send the communication concerning the exercise of the right of withdrawal before the withdrawal period expires.

Consequences of withdrawal

If you withdraw from this contract, we shall reimburse to you all payments we have received from you without undue delay and at the latest within fourteen days from the day on which the communication concerning your withdrawal from this contract reaches us. For this reimbursement, we will use the same means of payment that you used for the original transaction, unless expressly agreed otherwise with you; in no event will you be charged any fees as a result of this reimbursement.

If you have requested that the service should begin during the withdrawal period, you shall pay us a reasonable amount corresponding to the proportion of the services already provided up to the point in time at which you notify us of the exercise of the right of withdrawal in respect of this contract, compared with the total scope of the services provided for in the contract (compensation for value pursuant to Section 357a BGB).

6.2 Early commencement of performance, lapse of the right of withdrawal and compensation for value

  1. In the case of contracts for services (in particular training sessions, workshops, webinars and consulting), the right of withdrawal lapses where AI Hub Landau has performed the service in full and only began performance after the consumer gave their express consent and at the same time confirmed their awareness that they would lose their right of withdrawal upon complete performance of the contract by AI Hub Landau (Section 356(4) BGB).
  2. If the consumer requests that the service begin during the withdrawal period and subsequently withdraws, the consumer owes compensation for the value of the service provided up to the time of withdrawal. The compensation for value is calculated on the basis of the agreed total price in proportion to the total scope of the service owed. The claim for compensation for value is conditional upon the consumer having been informed of the obligation to pay compensation for value before the commencement of performance and having expressly consented to the early performance (Section 357a BGB).
  3. In the case of contracts for the supply of digital content not delivered on a tangible medium, the right of withdrawal lapses where AI Hub Landau began performance of the contract after the consumer expressly consented to performance beginning before the expiry of the withdrawal period and the consumer confirmed their awareness that, by giving this consent, they would lose their right of withdrawal upon the commencement of performance (Section 356(5) BGB).

6.3 Further exclusions and special cases

Beyond the cases set out in Section 6.2, there is no right of withdrawal where the law excludes it, in particular for contracts which, by their nature, fall within the statutory exceptions of Section 312g(2) BGB.

6.4 Procedure for withdrawal

Withdrawal is effected by a clear declaration to the address or email address stated in Section 6.1. It is helpful, but not required, to state your name, booking or order number and the service concerned. Where a refund is to be made, it shall be made in accordance with Section 6.1.

6.5 Cancellation terms outside the right of withdrawal

  1. If the customer cancels a bindingly booked event outside an existing right of withdrawal, the following lump sum shall apply to the processing and cancellation costs incurred:
    • more than 30 days before the start of the event: 10% of the net fee;
    • 15 to 30 days before the start of the event: 50% of the net fee;
    • less than 15 days before the start of the event: 90% of the net fee.
  2. The customer reserves the right to prove that AI Hub Landau incurred no damage or substantially less damage. AI Hub Landau reserves the right to prove that a higher actual damage was incurred.
  3. Where possible, AI Hub Landau offers a free rebooking to a replacement date. If the customer takes up a reasonable replacement offer, the cancellation lump sum shall not apply.
  4. In cases of illness, family emergency or documented force majeure, AI Hub Landau will, upon request, consider goodwill arrangements going beyond the above provisions. There is no entitlement to this.

7. What are your obligations as a user?

7.1 Use of the services

By making a booking, the customer undertakes:

  • to use the services only for lawful purposes,
  • to provide accurate and complete information during registration and throughout the entire business relationship,
  • to respect the intellectual property rights of AI Hub Landau and of third parties,
  • not to use the services to develop competing offerings or to reverse-engineer the methods of AI Hub Landau,
  • not to record, photograph or distribute course content without prior consent in text form, where this is not expressly permitted,
  • to behave respectfully towards the AI Hub Landau team and other participants, and
  • to comply with the applicable statutory provisions.

7.2 Prohibited conduct

It is prohibited in particular to use the services for unlawful or harmful purposes, to harass or discriminate against other persons, to infringe the rights of third parties, to disrupt or intrude into the systems of AI Hub Landau, to misrepresent one’s own identity or qualifications, or to send unsolicited commercial communications.

7.3 Consequences of a breach

In the event of a breach of the above obligations, AI Hub Landau may warn the customer and request remedial action, suspend or terminate access to the services, defer the issuance of certificates and, where necessary, take legal action. The customer’s statutory claims, in particular claims for a refund following an effective withdrawal, remain unaffected by such measures.

8. Which intellectual property rights apply?

8.1 Rights to materials and consulting results

  1. All pre-existing training and standard materials, methods, templates, guides and media (including materials from the book “The AI Project Advantage” and the associated resources) remain the property of AI Hub Landau and are protected by copyright. The customer receives a non-exclusive, non-transferable and non-sublicensable right of use thereto, solely for their own internal purposes. The customer is not entitled to reproduce, modify, distribute, sell or sublicense these materials, to create derivative works from them, to use them for commercial purposes or to create competing offerings, or to remove copyright and source notices.
  2. For the results created specifically for the customer in the course of a consulting engagement, the customer receives, upon payment in full of the agreed remuneration, a non-exclusive right of use that is unlimited in time and territory for their own operational purposes. General know-how, methods and reusable building blocks of AI Hub Landau remain unaffected by this and may continue to be used by AI Hub Landau.

8.2 Your content and data

All materials, data or information provided by the customer in the course of the training, consulting or other service (such as case studies, business data or project examples) remain the customer’s property. The customer permits AI Hub Landau to use this data to provide the requested service and to retain records for evidentiary and archiving purposes within the limits permitted by law. AI Hub Landau treats the data confidentially and does not pass it on to third parties without the customer’s consent, unless required to do so by law.

8.3 Feedback and references

AI Hub Landau may use feedback and reviews in anonymised form for its own purposes, in particular for training and marketing. The use of references by name or otherwise relating to an identifiable person (in particular name, function, logo or image) shall take place exclusively on the basis of a separate, express consent of the customer that may be withdrawn at any time with effect for the future. No use shall take place without prior consent.

9. What liability does AI Hub Landau have?

9.1 Performance obligations

AI Hub Landau provides the services professionally and with the requisite care, provides qualified speakers and consultants, and protects personal data in accordance with the data protection provisions. AI Hub Landau owes a professional service, but not the occurrence of any particular economic outcome.

9.2 Limitation of liability

  1. AI Hub Landau is liable without limitation for damages arising from injury to life, body or health that are based on a negligent or intentional breach of duty, as well as for damages based on intent or gross negligence.
  2. In the case of a slightly negligent breach of a material contractual obligation (cardinal obligation), liability is limited to the foreseeable damage typical of the contract at the time the contract was concluded. Material contractual obligations are those obligations whose fulfilment is what makes the proper performance of the contract possible in the first place and on whose observance the customer regularly relies and may rely.
  3. Any further liability for slight negligence is excluded. In particular, in the case of slight negligence, AI Hub Landau is not liable for lost profit, failed business results, indirect damages or consequential damages, unless a material contractual obligation within the meaning of paragraph 2 is affected.
  4. Liability under the German Product Liability Act (Produkthaftungsgesetz), arising from the assumption of a guarantee or a procurement risk, and arising from fraudulently concealed defects remains unaffected. Likewise, any mandatory statutory liability remains unaffected.
  5. The above limitations of liability also apply for the benefit of the legal representatives, employees and other vicarious agents of AI Hub Landau.
  6. AI Hub Landau is not liable for technical malfunctions or failures of third-party tools or platforms that lie outside its area of responsibility, nor for the consequences of an abusive or improper application of the training and consulting content by the customer; paragraphs 1 to 5 remain unaffected.

A limitation of liability by amount may be agreed separately in an individual consulting contract; any such individual agreement takes precedence over these Terms.

10. What applies to data protection?

AI Hub Landau processes personal data exclusively in accordance with the statutory provisions, in particular the General Data Protection Regulation (GDPR) and the German Federal Data Protection Act (Bundesdatenschutzgesetz). Details of the nature, scope and purpose of the processing, as well as the rights of the data subjects (in particular access, rectification, erasure, restriction, data portability and objection), are set out in the separate privacy policy available on the website. If you have any questions about data protection, you can reach us at enquiries@improvides.com.

11. How are disputes resolved? (Applicable law, place of jurisdiction, dispute resolution)

11.1 Applicable law and place of jurisdiction

  1. The law of the Federal Republic of Germany applies, to the exclusion of the United Nations Convention on Contracts for the International Sale of Goods (CISG). In relation to consumers, this choice of law applies only to the extent that the consumer is not thereby deprived of the protection afforded to them by the mandatory provisions of the law of the State of their habitual residence.
  2. If the customer is a merchant, a legal person under public law or a special fund under public law, the exclusive place of jurisdiction for all disputes arising out of or in connection with these Terms is the registered office of AI Hub Landau in Landau in der Pfalz. AI Hub Landau is additionally entitled to bring proceedings at the customer’s general place of jurisdiction.
  3. In relation to consumers, the statutory places of jurisdiction continue to apply.

11.2 Amicable settlement

AI Hub Landau endeavours to settle disagreements amicably. The customer is asked to contact AI Hub Landau directly in the first instance so that the matter can be discussed and resolved. If direct communication does not lead to a resolution, the parties may consider mediation before initiating court proceedings.

11.3 Consumer dispute resolution

Notice pursuant to the German Consumer Dispute Resolution Act (Verbraucherstreitbeilegungsgesetz, VSBG): AI Hub Landau is neither willing nor obliged to participate in a dispute resolution procedure before a consumer arbitration body. Any reference to the European Commission’s former Online Dispute Resolution platform no longer applies, as that platform was discontinued on 20 July 2025.

12. Which other terms apply?

12.1 Amendments to these Terms

  1. AI Hub Landau is entitled to amend these Terms with effect for ongoing continuing obligations, to the extent that this is necessary to adapt to changed statutory requirements or supreme court rulings or to remedy disturbances of equivalence, and provided that the customer is not thereby unreasonably disadvantaged. The essential primary performance obligations and the relationship between performance and consideration remain unaffected.
  2. Intended amendments will be communicated to the customer in text form at least six weeks before they take effect. The amendments shall be deemed approved if the customer does not object to them in text form within six weeks of receipt of the notice. In the notice, AI Hub Landau will specifically draw the customer’s attention to the deadline, the right to object and the significance of their silence.
  3. If the customer objects in good time, the Terms shall continue to apply in their previous version. In this case, AI Hub Landau is entitled to terminate the continuing obligation with reasonable notice.

12.2 Invalidity of individual provisions

Should individual provisions of these Terms be or become invalid or unenforceable, the validity of the remaining provisions shall remain unaffected. The statutory provisions shall take the place of invalid or unenforceable provisions (Section 306(2) BGB). A validity-preserving reduction of invalid clauses shall not take place.

12.3 Assignment

The customer may transfer or assign rights or obligations under these Terms only with the prior consent of AI Hub Landau in text form. AI Hub Landau is entitled to transfer its rights and obligations to a successor entity in connection with a merger, acquisition or sale of assets, provided that the successor undertakes to comply with these Terms. In relation to consumers, such a transfer shall take place only to the extent that they are not thereby placed in a worse position.

12.4 Force majeure

Neither party is liable for the non-performance of obligations due to circumstances beyond its reasonable control, including but not limited to natural disasters, war, terrorism or civil unrest, governmental measures, pandemics or epidemics, and the failure of third-party services or infrastructure. In such cases, the obligation to perform is suspended for the duration of the force majeure. If the force majeure continues for more than 60 days, either party may terminate the affected contract without penalty. The obligation to pay amounts that have already fallen due remains unaffected.

12.5 Entire agreement and precedence of the individual agreement

These Terms, together with the privacy policy, any individual service or consulting contract, the accepted quotation and the supplementary policies referenced on the website, constitute the agreement between the customer and AI Hub Landau regarding the services. Individual agreements shall always take precedence over these Terms (Section 305b BGB). This clause does not exclude oral or separately concluded individual agreements.

12.6 Authoritative language version

These Terms are available in German and English. In relation to consumers whose habitual residence is in Germany, and in all cases in which German law applies, only the German version is authoritative. The English version is provided for information purposes only. In the event of conflicts between the two versions, the German version shall prevail.
